1. Overview

Apo VA, LLC (“Company”, “we”, “our”, or “us”) provides virtual assistant services through a hybrid Team-as-a-Service model. Clients are assigned a Primary VA with access to a team of specialists. By purchasing any of our services, you (“Client”, “you”, or “your”) agree to these Terms and Conditions.

2. Nature of the Service

All VAs are independent contractors based in the Philippines. Apo VA facilitates the services and communication, but does not employ the VAs directly.

3. Faith-Aligned Values

We are a faith-driven business committed to integrity, excellence, and ethical conduct rooted in Christian values. Clients and VAs alike are expected to uphold mutual respect, professionalism, and courtesy in all interactions.

4. Payments and Billing

All services are prepaid through the website. Recurring payments will be charged automatically based on the selected plan. You may cancel your subscription at any time. No refunds are issued for partial billing periods.

5. Client Responsibilities

• Provide timely and clear instructions to your VA.

• Treat all team members with professionalism and respect.

• Maintain secure access to any shared platforms, files, or credentials.

• Comply with all applicable laws and regulations.

6. VA Responsibilities

• Provide services according to the assigned tasks and timelines.

• Maintain client confidentiality.

• Communicate availability, delays, or issues clearly and professionally.

7. Termination

Clients may cancel anytime from their account dashboard or by notifying us in writing. We reserve the right to suspend or terminate service if a client breaches these terms or behaves in a way inconsistent with our values.

8. Intellectual Property

Unless otherwise agreed, all deliverables created for you are your property once final payment is received. Apo VA retains no ownership over your content.

9. Confidentiality

All parties agree to maintain confidentiality of sensitive information, including business strategies, customer data, and login credentials. This clause survives the termination of services.

10. Disclaimer & Limitation of Liability

We make no guarantees of specific outcomes. Services are provided “as-is.” In no event shall Apo VA, LLC be liable for any indirect, incidental, or consequential damages exceeding the amount you paid in the prior month.

11. Dispute Resolution

Any dispute shall first be attempted to be resolved amicably. If unresolved, it will be subject to mediation in the State of Mississippi.

12. Primary VA Assignment & Replacement

Clients are assigned a Primary VA based on availability, skill set, and compatibility. While we aim to create stable and cohesive working relationships, we understand that not every match will be perfect.

If a client is dissatisfied with their Primary VA, they may request a reassignment by providing a clear and valid reason. Apo VA will evaluate the request and, when appropriate, facilitate a change to better support the client’s needs.

Frequent or arbitrary reassignment requests may not be accommodated, as consistent VA-client relationships are essential to service quality and performance. We encourage open communication and mutual respect to resolve issues constructively before considering a change.

13. Governing Law

These Terms are governed by the laws of the State of Mississippi, United States.
